Terms of use
Effective: November 3, 2026
These terms are the agreement between Lexer Technologies Inc. ("Lexer", "we") and the company that uses UNOREL (the "customer"), together with the people who sign in on its behalf. By creating an account, signing in to the portal or using the API, the customer accepts them. Where an order form or a signed contract says otherwise, that document prevails.
1. The service
UNOREL is an online service that tracks containers, gathers the status of customs declarations, exchanges EDI documents with the customer's trading partners and connects to the customer's systems, such as QuickBooks Online. We provide it as a service: the customer neither installs the software nor receives a copy of it.
2. License
While the account is active and in good standing, we grant the customer a limited, non-exclusive, non-transferable right to use UNOREL for its own operations. The customer may not resell the service, copy it, decompile it, try to get around its limits or its security, or use it to build a competing service.
3. Accounts and access
The customer chooses who signs in and with what permissions, and is responsible for what those people do. Each person keeps their password, second factor and API keys safe; if they suspect someone else has them, they tell us at once and change them.
4. Customer data
The data the customer uploads or that arrives on its behalf (containers, documents, orders, invoices, declarations) belongs to the customer. We use it only to provide the service, keep it secure and support the customer, as the Privacy policy explains. The customer can export it while the account is active. The customer confirms that it has the right to share this data with us.
5. Third-party services
Some features depend on third parties: carriers, terminals and tracking-data providers, customs authorities and brokers, the customer's EDI partners, and software such as QuickBooks Online. We connect them only when the customer asks. Each has its own terms, and we are not responsible for their data, delays or availability. The customer can disconnect QuickBooks at any time from the portal.
6. What we show is information, not a guarantee
Dates, alerts, the calculated last free day and estimated costs are based on what third parties report and on the rules the customer sets. They may be incomplete or wrong. Operational decisions, payments to carriers and terminals, and customs obligations remain the customer's.
7. Prices and payment
Prices are those of the order form or plan the customer accepted. We invoice according to that plan, and invoices are due within the term they state. If an invoice remains unpaid, we may suspend the service after notice.
8. Availability and changes
We work to keep the service available and secure, but we do not promise it will run without interruption or error, unless a signed contract sets a service level. We may improve or change features; if we remove something important the customer uses, we give reasonable notice.
9. Acceptable use
The customer will not use UNOREL for anything illegal, to send harmful content or malicious code, or to access other customers' data. We may suspend an account that puts the service or other customers at risk.
10. Ending the service
The customer may close its account at any time. We may end it if the customer breaches these terms and does not fix it after notice. After closing, the customer has 30 days to ask us for its data; we then delete it, as the Privacy policy explains.
11. Liability
To the extent the law allows, the service is provided "as is". Neither Lexer nor the customer is liable to the other for indirect damages, lost profits, or data loss caused by third parties. Lexer's total liability for any claim is limited to what the customer paid for the service in the 12 months before the event.
12. Governing law
These terms are governed by the laws of the Province of Alberta and the federal laws of Canada that apply there. Any dispute is settled in the courts of Edmonton, Alberta.
13. Changes to these terms
If we change these terms, we post the new version here with its date and tell customers about important changes before they apply.
